Ritchie Bros. Auctioneers filed a registration statement on Form F-10 with the U.S. Securities and Exchange Commission and a preliminary short form prospectus and related documents with the securities regulatory authorities in all provinces of Canada, in connection with a secondary offering in the United States and Canada of up to 2,000,000 common shares. Following the closing of the offering, Mr. Ritchie will beneficially own or control common shares representing approximately 17.3% of Ritchie Bros.' outstanding common shares, assuming the over-allotment option is exercised in full by the underwriters. The final terms of the offering will be determined at the time of pricing. The Company anticipates that pricing and completion of the offering will occur within the next two weeks. Ritchie Bros. will not receive any proceeds from the offering.
