eBay held its annual shareholders meeting on April 29, 2009, at its headquarters in San Jose, California. Some board members attended the meeting virtually via eBay's Skype service. eBay shareholders passed all resolutions, including electing Marc L. Andreessen, William C. Ford, Jr., Dawn G. Lepore, Pierre M. Omidyar and Richard T. Schlosberg, III as directors through 2012.
Shareholders also approved amendments to certain of eBay's existing equity incentive plans to allow for a one-time stock option exchange program for employees other than its named executive officers and directors and approved an amendment and restatement of its 2008 Equity Incentive Award Plan. Shareholders also ratified the selection of PricewaterhouseCoopers LLP as its independent auditors for the fiscal year ending December 31, 2009.
eBay CEO John Donahoe gave a presentation and took two questions from attending shareholders, including one from a shareholder who asked Donahoe why he hadn't rolled out changes to the marketplace faster, complaining that his shares had decreased in value 50 percent.
